Terms of Service

Effective date: The date these Terms are published at this URL (the “Effective Date”).
These Terms of Service (“Terms”) govern access to and use of Latern (the “Service”), including our websites, APIs, dashboards, and related documentation (collectively, the “Site”). By creating an account, inviting users, clicking to accept, or using the Service, you agree to these Terms on behalf of yourself and any organization you represent (“you,” “your”). If you do not agree, do not use the Service.
1. Who we are
Depending on how the Service is deployed, it may be operated by a specific legal entity (“we,” “us,” “our”). Contact and legal notices should be sent using the support or legal contact published on the Site or in the product (for example, a support email shown in settings or marketing pages).
2. Eligibility and accounts
- You must be able to form a binding contract in your jurisdiction and, if you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
- You are responsible for safeguarding credentials, API keys, tokens, and devices used to access the Service.
- You must provide accurate registration information and keep it current.
- You may not share accounts in a way that circumvents security, licensing, or usage limits.
3. Organizations, projects, and collaboration
The Service may allow you to create or join organizations, projects, topics, and related resources. Organization owners and administrators may control membership, billing, limits, and data within that workspace. You acknowledge that administrators can access, modify, export, or delete organization data consistent with product features and these Terms.
4. Description of the Service
Latern provides tools to create notification topics, publish messages via HTTP APIs (including scoped endpoints), expose feeds or similar subscriber interfaces as offered, and deliver notifications through channels such as web push or other supported transports. Features, limits, and availability may vary by plan, configuration, or deployment. We may modify, deprecate, or add features; where materially adverse and where we have a direct relationship with you, we will use reasonable efforts to provide notice when practicable.
5. Customer content and payloads
- You retain ownership of content you submit, including notification payloads, titles, metadata, and subscriber identifiers you provide (“Customer Content”).
- You grant us a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Content solely to provide, secure, and improve the Service and as described in our Privacy Policy.
- You represent and warrant that you have all rights necessary to submit Customer Content and that your use does not violate law or third-party rights.
- You are solely responsible for the legality, accuracy, and appropriateness of Customer Content and for compliance with laws applicable to your recipients (for example, marketing, telecommunications, or employment rules).
6. Acceptable use
You agree not to, and not to allow others to:
- Use the Service in violation of law or regulation, or to harm, harass, or deceive others.
- Send spam, phishing, malware, or other abusive or deceptive traffic.
- Attempt to gain unauthorized access to the Service, other accounts, or underlying systems; probe, scan, or test vulnerabilities except as part of an authorized bug bounty or written agreement.
- Circumvent rate limits, technical restrictions, or billing controls.
- Resell or sublicense the Service in a way that misrepresents affiliation or violates our branding guidelines, except as expressly permitted in writing.
- Use the Service to build a competing monitoring or notification product that primarily replicates Latern’s core offering, if we notify you in writing that this restriction applies to your use case.
We may investigate suspected violations and cooperate with law enforcement as required by law.
7. API usage, limits, and fair use
The Service may enforce per-organization or per-topic limits (for example, daily publish caps, subscriber counts, or message sizes). Limits may be set by administrators, by deployment configuration, or by us for stability and abuse prevention. Excessive or abusive use that degrades the Service for others may result in throttling, suspension, or termination.
8. Fees, trials, and billing
- Free and paid plans. Some features may be offered without charge; paid subscriptions or usage-based fees may apply as described at checkout, in-product billing screens, or order forms.
- Stripe. Where payments are processed, they may be handled by Stripe (or another processor we designate). Your use of payment features is also subject to the processor’s terms and privacy policy.
- Taxes. Stated fees may exclude taxes; you are responsible for applicable taxes except where we are required to collect them.
- Changes to pricing. We may change prices for renewal periods with reasonable advance notice. Continued use after the effective date may constitute acceptance.
- Failed payment. We may suspend or downgrade access for non-payment according to product behavior and any subscription terms presented at purchase.
9. Intellectual property
The Service, the Site, and our branding, logos, and documentation are owned by us or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not copy, modify, distribute, sell, or lease any part of the Service except as allowed by law or with our written consent.
10. Third-party services
The Service may integrate with third parties (for example, email delivery, error reporting, push notification providers, cloud hosting, or analytics). Your use of those services may be subject to their terms. We are not responsible for third-party services beyond our reasonable control.
11. Confidentiality
If we share non-public information about the Service marked as confidential or that a reasonable person would treat as confidential, you will use it only as needed to use the Service and will protect it with reasonable care. This does not restrict you from sharing information that is public, already known to you, independently developed, or rightfully received from a third party.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NO INDIRECT DAMAGES. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
- CAP. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS.
These limitations do not apply where prohibited by law (for example, gross negligence, willful misconduct, death, or personal injury to the extent such exclusions cannot be limited).
14. Indemnity
You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Customer Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
15. Suspension and termination
- You may stop using the Service at any time and may delete your account or organization where the product allows.
- We may suspend or terminate access if you materially breach these Terms, create risk or possible legal exposure, or if we are required to do so by law.
- Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including Sections 9, 11–18) will survive.
16. Data retention and export
Retention of messages and logs may depend on product settings, organization deletion, scheduled purge jobs, and deployment configuration (including environment variables documented for operators). You are responsible for exporting data you need before closing an account or organization where export is available.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will provide notice by posting on the Site, by email, or through the product. Changes become effective on the date stated in the notice or posting. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
18. General
- Entire agreement. These Terms and any policies referenced (including the Privacy Policy) are the entire agreement regarding the Service and supersede prior understandings on the same subject.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No waiver. Failure to enforce a provision is not a waiver.
- Severability. If a provision is unenforceable, the remainder remains in effect.
- Governing law and venue. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. For disputes not subject to arbitration or small-claims court, you and we consent to the state and federal courts located in Delaware, and each waives any objection to jurisdiction and venue there. - Export. You must comply with applicable export control and sanctions laws.
